The following terms and conditions will be deemed to have been accepted by the users on usage of the website www.geexec.com. You are requested to read them carefully before you use the service of the site.

• The term user shall refer to the user who is browsing the site. The term Geexec shall refer to Geexec Technologies Private Limited. The term site refers to www.geexec.com owned and monitored by Geexec.
• By using the site, you agree to follow and be bound by the following terms and conditions and disclaimers concerning your use of site. Geexec may revise the Terms of use at any time without notice to you
• All content present on this site is the exclusive property of Geexec. The software, text, images, graphics, video and audio used on this site belong to Geexec. No material from this site may be copied, modified, reproduced, republished, uploaded, transmitted, posted or distributed in any form without prior written permission from Geexec. All rights not expressly granted herein are reserved. Unauthorized use of the materials appearing on this site may violate copyright, trademark and other applicable laws, and could result in criminal or civil penalties. Geexec is a registered trademark of Geexec Technologies Private Limited. This trademark may not be used in any manner without prior written consent from Geexec Technologies Private Limited.
• Geexec cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material. In case of any disputes, Geexec shall not be accountable for such issues.
• Geexec shall have no responsibility for any damage to User’s computer system or loss of data that results from the download of any content, materials, information from the Site.
• The client agrees to make available as soon as is reasonably possible to Geexec all materials required for completing the project to the agreed standard and within the set deadline. Geexec will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines. Geexec will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrong doing on the part of a site owner.
• A deposit of 50% of the total amount of the quoted price is required with any project before any design work shall be carried out.
• Once the proposal is accepted and we engage ourselves with the project or a project has been completed, the balance of payment is then due in accordance with our payment terms. There are no exceptions to this, i.e. if the client decides to drop the project, as they have commissioned the work and paid a deposit, they are still obliged to pay for the work that has been done. Non-payment will result in legal action being taken if necessary.
• Payment once remitted shall not be returned at any cost unless Geexec Technologies Private Limited agrees upon.
• All fees and charges that appear on our Bills addressed towards clients/ Automatic Invoices issued for the service subscriptions/Project cost estimates are in US Dollars (USD) or Indian Rupees (INR). If you do choose the option of paying with a different currency other than USD/INR, it will be converted to USD/INR solely for purposes of calculating the currency equivalent and record keeping.
• A link to Geexec Technologies Private Limited will appear in either small type or by a small graphic at the bottom of the Client's website. If a graphic is used, it will be designed to fit in with the overall site design. If a client requests that the design credit be removed, a nominal fee of 10% of the total development charges will be applied.
• We do not guarantee any specific position in search engine results for your website. We perform basic search engine optimization according to current best practice.
• We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.
• Client is responsible for maintaining their own backups with respect to their website and Geexec will not be liable for restoring any client data or client websites except to the extent that such data loss arises out of a negligent act or omission by us.

Liability

User agrees that neither Company nor its group companies, directors, officers or employee shall be liable for any direct or/and indirect or/and incidental or/and special or/and consequential or/and exemplary damages, resulting from the use or/and the inability to use the service or/and for cost of procurement of substitute goods or/and services or resulting from any goods or/and data or/and information or/and services purchased or/and obtained or/and messages received or/and transactions entered into through or/and from the service or/and resulting from unauthorized access to or/and alteration of user's transmissions or/and data or/and arising from any other matter relating to the service, including but not limited to, damages for loss of profits or/and use or/and data or other intangible, even if Company has been advised of the possibility of such damages. User further agrees that Company shall not be liable for any damages arising from interruption, suspension or termination of service, including but not limited to direct or/and indirect or/and incidental or/and special consequential or/and exemplary damages, whether such interruption or/and suspension or/and termination was justified or not, negligent or intentional, inadvertent or advertent. User agrees that Company shall not be responsible or liable to user, or anyone, for the statements or conduct of any third party of the service. In sum, in no event shall Company's total liability to the User for all damages or/and losses or/and causes of action exceed the amount paid by the User to Company, if any, that is related to the cause of action.
